1. Who these terms are between
These Terms and Conditions govern your purchase of goods from TXB Supply Co. through this website. By
placing an order you accept them. If you are ordering on behalf of a company, you confirm you are
authorised to bind that company. We sell to businesses and to individuals, but this is a supply
business and our terms are written for commercial buyers. Nothing in these terms limits any right
you have under mandatory consumer law that cannot be excluded by agreement.
2. Orders and acceptance
A completed checkout is an offer to buy, not a concluded contract. The contract forms when we
send an order confirmation or ship the goods, whichever happens first. We may decline an order for
any lawful reason, including a pricing or stock error, a failed address or payment verification, a
quantity outside normal commercial use, or a delivery address we cannot ship to. If we decline an
order after you have paid, we refund the full amount by the original payment method.
Product listings describe goods as accurately as we can. Dimensions, capacities, ratings and
pack counts are supplied by the manufacturer and are nominal. Manufacturing tolerances apply, and
manufacturers change specification from time to time without telling us. Photographs are
illustrative. Where an exact specification matters for your application, ask us in writing before
ordering rather than relying on a listing.
3. Prices, taxes and payment
Prices are in United States dollars and exclude shipping and tax unless stated. Applicable sales
tax is calculated at checkout based on the delivery address. If you are exempt, send us your
exemption certificate before ordering; we cannot refund tax already collected and remitted without
a valid certificate on file.
We take payment in full at checkout. We do not offer credit accounts, net terms or invoicing.
Card payments are processed by our payment provider; we do not receive or store your full card
number. If a payment is reversed, charged back or otherwise fails after we have shipped, you remain
liable for the goods and the cost of recovering them.
We reserve the right to correct a price that is obviously wrong, including where a decimal point
or a pack quantity has been misstated, even after an order is placed. In that case we will contact
you and either confirm the corrected price or cancel and refund in full.
4. Delivery, title and risk
Delivery estimates are estimates. We are not liable for delay caused by a carrier, by weather, by
a customs or inspection hold, or by anything else outside our reasonable control. Risk in the goods
passes to you on delivery to the address you gave us. Title passes when we have received payment in
full and it has cleared.
You must inspect goods on arrival. Note visible damage on the carrier’s paperwork at the time of
delivery, because a clean signature makes a freight damage claim very difficult to pursue. Report
shortages, damage or the wrong item within five business days. See our Shipping page for how we

5. Fitness for purpose and correct use
Many of the items we sell are industrial products, and some are protective equipment. You are
responsible for selecting a product that is correct for your application, for checking that it meets
any standard or specification your work requires, and for training the people who use it. Product
descriptions on this site are commercial descriptions written to help a buyer choose. They are not
engineering advice, they are not a compliance opinion, and they do not replace the manufacturer’s
instructions, data sheet or markings, which always take precedence.
Where protective equipment is concerned, no product prevents every injury, ratings are achieved
under defined test conditions, and correct fitting and inspection matter as much as the product. Do
not use damaged, altered or expired equipment. Follow the applicable rules for your workplace and
jurisdiction.
6. Warranties
Goods are covered by the manufacturer’s warranty where one exists, and we will pass through and
support a warranty claim. Except for that, and except where law says otherwise, goods are supplied
as is, and we disclaim implied warranties of merchantability and fitness for a particular purpose.
A warranty does not cover fair wear, consumable items reaching the end of their life, misuse,
overloading beyond a rated capacity, modification, or damage caused by improper storage.
7. Limitation of liability
To the extent the law allows, our total liability arising from an order is limited to the amount
you paid for the goods that gave rise to the claim. We are not liable for indirect or consequential
loss, including lost profit, lost production, downtime, loss of data, or the cost of substitute
goods or labour. Nothing here excludes liability for death or personal injury caused by our
negligence, for fraud, or for anything else that cannot lawfully be excluded.
8. Your account and acceptable use
If you create an account you are responsible for the credentials and for activity under it. Tell
us promptly if you believe it has been compromised. You may not use this site to place fraudulent
orders, to scrape or copy the catalogue and descriptions, to interfere with the site’s operation, or
to resell in a way that misrepresents the origin of the goods.
9. Intellectual property
The text, layout, photographs and product descriptions on this site are ours or are used with
permission, and may not be copied or republished without written consent. Manufacturer names and
trademarks referred to in listings belong to their owners and are used only to identify the goods.
10. Export and end use
We ship within the United States. You may not export or re-export goods bought from us in breach
of applicable export control or sanctions law, and you confirm you are not a party barred from
receiving them.
11. Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict of law
rules. The state and federal courts located in Harris County, Texas have exclusive jurisdiction,
and both parties submit to them. If any provision is held unenforceable, the rest continues in
force. Before starting proceedings, contact us — most disputes are a misunderstanding about a
specification or a delivery and are resolved in a single exchange.
12. Changes to these terms
We may update these terms. The version that applies to your order is the version published when
you placed it. Material changes are reflected in the last updated date above.
